Please read these Terms of Service ("Terms") carefully before using setubi.in or app.setubi.in (the "Service") operated by SetuBi Pvt Ltd ("we", "our", "us"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

SetuBi is an AI-powered business intelligence assistant that connects to Tally Prime via ODBC on your local machine, allowing you to query accounting and business data using natural-language chat. The Service is provided by SetuBi Pvt Ltd, incorporated under the laws of India.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under Indian law. By using the Service you confirm you meet these requirements. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

3. Account Registration

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to provide accurate, up-to-date information when registering and to update it promptly if it changes.
• You must notify us immediately at info@setubi.in if you suspect any unauthorised access to your account.
• We reserve the right to suspend or terminate accounts we reasonably believe have been compromised or are being used in violation of these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law.
• Reverse-engineer, decompile, or disassemble any part of the Service or its underlying AI models.
• Upload or transmit malware, viruses, or any code designed to interfere with the Service.
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission.
• Resell, sublicense, or commercially exploit the Service without our prior written consent.
• Impersonate any person or entity or misrepresent your affiliation with any person.
• Use the Service to process data belonging to third parties without their explicit consent.

5. Your Data & Local Processing

SetuBi is built with a local-first architecture. Your Tally Prime business data is processed on your own device and is never transmitted to or stored on our servers. You retain full ownership of your business data at all times.

You are solely responsible for the accuracy, legality, and integrity of the data you access through the Service. We are not liable for any errors or omissions in your Tally Prime data.

6. Intellectual Property

The Service — including its design, software, AI models, documentation, and content (excluding your data) — is owned by SetuBi Pvt Ltd and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes.

You must not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

7. Free Plan & Paid Plans

The Service may be offered under a free tier and one or more paid subscription plans. Available features per plan are described on our website. We reserve the right to modify, discontinue, or change the pricing of any plan with reasonable notice to existing subscribers.

Payments are processed securely through third-party payment providers. We do not store your payment card details. All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

AI-generated responses may occasionally be inaccurate, incomplete, or outdated. Do not rely solely on SetuBi outputs for critical financial, legal, or compliance decisions. Always verify important information with your accountant or a qualified professional.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SetuBi Pvt Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability for any claim shall not exceed the amount you paid us (if any) in the 3 months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless SetuBi Pvt Ltd and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of the Service.

11. Third-Party Services

The Service may integrate with third-party services (e.g., Tally Solutions Pvt. Ltd. software). We are not responsible for the content, privacy practices, or availability of those services. Use of third-party services is governed by their respective terms.

12. Termination

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or for any other legitimate business reason. You may delete your account at any time by contacting us at info@setubi.in.

Upon termination your right to use the Service ceases immediately. Sections 6, 8, 9, 10, 13, and 14 survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top. For material changes we will notify registered users by email at least 7 days before changes take effect. Continued use after that date constitutes acceptance of the revised Terms.
